THE FOLLOWING RULES ARE ACCEPTED BY SUBMITTING A BID (“ASSENT”). VOID WHERE PROHIBITED OR RESTRICTED BY LAW.
REVERSE AUCTION. This reverse auction allows each qualified entrant (“Entrant”) to bid item of value as designated by Aurora International Consulting, LLC (“Sponsor”) for the applicable bidding period (“Item”) via a text short message service (“SMS”) on a wireless telephone and the Entrant with the bid closest to one U.S. cent ($.01) which is not bid by any other Entrant during the applicable bidding period (“Lowest Unique Bid”), or who submits the winning bid as otherwise determined in accordance with these Rules in the event no Lowest Unique Bid remains, shall be obligated to purchase the Item for the Lowest Unique Bid (“Reverse Auction”).
GENERAL CONDITIONS. By making the Assent, each Entrant covenants, represents and warrants to comply and be bound by these Rules, as well as any decisions of the Sponsor and Baylo Entertainment, LLC (“Administrator”), in Sponsor’s sole and absolute discretion, as final in all matters relating to, arising from, or otherwise associated with this Reverse Auction. The Reverse Auction shall be governed for all purposes by the laws of the State of Nevada as such laws apply to contracts and reverse auctions performed within Nevada by its residents, and that venue and personal jurisdiction for any claim with respect to or arising out of the Reverse Auction shall lie in the state or federal courts sitting in Nevada to which each Entrant hereby unconditionally consents. If any provision of these Rules is deemed unenforceable by any court or tribunal with dispute or interpretive jurisdiction over the Reverse Auction, the Sponsor, or the Entrant, then such provision shall be reformed by such court or tribunal in such a manner to make the provision enforceable and as near the manifest intent of Sponsor and Entrant as possible. The Reverse Auction is void where prohibited or restricted by law. The Sponsor reserves the right to modify, suspend or terminate the Reverse Auction if the logistics of processing bids becomes impracticable to effect reasonable fairness, including, without limitation, viruses, hackers, crashes, fraud or verifiable acts of collusion. Sponsor may void an Entrant’s bid(s) without refund and prohibit an Entrant from participating in the Reverse Auction and future promotions of Sponsor if, in Sponsor’s sole and absolute discretion, Sponsor determines that said Entrant is attempting to undermine the legitimate operation of the Reverse Auction by including, but not limited to, the use of automated entry programs, the use of automated entry devices, bidding through the use of multiple accounts or multiple wireless telephones owned by the same Entrant, or by participating in, or benefiting from, a syndicate, group or block bidding process or system, or intending to annoy, abuse, threaten or harass any Entrant or Sponsor and Sponsor’s subsidiaries, affiliates, officers, directors, shareholders, agents, representatives and employees. ENTRY and ELIGIBILITY. Each Entrant must be a natural person, 18 years or older and a legal resident of the fifty United States or the District of Columbia who is the registered account holders with a participating U.S. wireless carrier of a wireless telephone with SMS. Entrants may enter today and ending on 05/28/2008 at 12:00 AM PST (the “Entry Period”). Bids may only be made in U.S. dollars and cents. To initiate a bid, an Entrant must text Win6 from Entrant’s wireless telephone to 23907. Entrant will then be prompted to place a bid. To place a bid, text the amount of the bid without punctuation (e.g., if the bid is $1.87, text "187"). The Administrator will send a confirmation when the bid is confirmed. Entrant shall be charged a premium SMS fee of $4.99 by Entrant’s wireless telephone service each time Entrant initiates a bid and a ring tone, wallpaper, or other comparable item designated by Sponsor will be provided to such Entrant for such premium SMS fee. In addition, wireless carrier specific charges for Short Message Service may apply depending on Entrant’s individual wireless carrier’s plan in accordance with Entrant’s wireless customer agreement. Entrant is responsible for all applicable taxes associated with initiating or placing an SMS bid. There is no limit on the number of bids Entrants may place, however, Entrants may be limited by their respective wireless carrier spending limits. All bids become the sole and exclusive property of Sponsor and shall not be returned. Sponsor, in its sole and absolute discretion, may add or delete a participating U.S. wireless carrier at any time without notice. Any attempted form of entry into the Reverse Auction, other than the entry method stated, is prohibited including, but not limited to, automatic, programmed, robotic or similar means of entry.
After Entrant places a bid, Entrant will receive a notification from Sponsor. The notification will inform Entrant of the status of Entrant’s bid in relation to all other bids received. Notification will be sent via SMS to Entrant’s wireless telephone from Sponsor. Wireless carrier charges may apply in connection with notifications from Sponsor depending on Entrant’s individual wireless carrier’s plan in accordance with Entrant’s wireless customer agreement. There is no limit to the number of notifications Sponsor may send during the Entry Period or any restrictions on when notifications may be sent. Entrant may send a text message to 23907 with the message "STOP" from the wireless telephone where the bid was entered to cease receiving further SMS notifications from Sponsor.
Employees, officers and directors Sponsor and Administrator and their parent companies, subsidiaries, affiliates, partners, broadcasters, dealers, vendors, advertising and promotion agencies, manufacturers or distributors of promotion materials and their immediate families (parents, children, siblings, spouse) and/or members of the same household (whether related or not) of the foregoing are not eligible to enter.
Sponsor, Administrator, and their respective subsidiaries, affiliates (by contract or otherwise), officers, directors, shareholders, agents, representatives and employees (collectively, the “Sponsor Parties”) are not and shall not be responsible for technical, hardware, software, electronic, network, Internet, telephone or other communications malfunctions, errors or failures of any kind, errors in transmission, lost or unavailable network connections, telephone connections, wireless phone connections, web site, Internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete, incorrect or inaccurate entry information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed transmissions which may limit or restrict an Entrant’s ability to enter the Reverse Auction, including, without limitation, any injury or damage to Entrant’s or any other person’s phone, Internet access device, computer, telephone or other matter relating to or resulting from participating in this Reverse Auction or downloading any materials in the Reverse Auction. Proof of submission will not be deemed to be proof of receipt by Sponsor.
Each Entrant consents to Sponsor’s collection and usage of their personal information and covenants and represents that such Entrant has read and accepted Sponsor’s privacy policy located at www.win6.org.
SUCCESSFUL BIDDER. The Entrant that submits the Lowest Unique Bid, as determined at the end of the Entry Period (the “Successful Bidder”) shall undertake all acts and execute all documents reasonably requested by Sponsor with respect to the Reverse Auction and the selection of a Successful Bidder, including, without limitation, signing and returning to Sponsor an affidavit/declaration of eligibility/liability release, and where legally permissible, and/or a publicity release within ten (10) days of notification (or longer period reasonably designated by Sponsor). Except where prohibited by law, Successful Bidder hereby consents to Sponsor’s use of his/her name, likeness, photograph, picture, portrait, voice, biographical information and/or any statements made by Successful Bidder regarding the Reverse Auction or Sponsor for advertising and promotional purposes without notice or additional compensation, in any media now known or hereafter developed (including, without limitation, posting Successful Bidder’s name on the Internet). Failure to comply with any and/or all of the terms and conditions set forth herein may result in disqualification of the Successful Bidder and selection of an alternative Entrant (determined by the next Lowest Unique Bid), in the sole and absolute discretion of Sponsor.
Sponsor shall notify the Successful Bidder within ninety (90) days after the end of the respective Entry Period. Confirmation of the identity of the Successful Bidder shall be undertaken by Sponsor, by whatever means Sponsor shall deem appropriate. Sponsor will make up to two (2) attempts to contact the Successful Bidder via the wireless telephone number associated with Successful Bidder’s bid. If the Successful Bidder cannot be reached when the Successful Bidder is called (no messages will be left on answering machines or voicemail systems), such Successful Bidder shall be disqualified and the Entrant with the next Lowest Unique Bid shall be deemed the Successful Bidder. This process will continue at the reasonable discretion of the Sponsor until a qualified Successful Bidder is determined. In the event there are no Lowest Unique Bids remaining, the Entrant who first places the lowest bid corresponding with the lowest number of multiple bids shall be deemed the Successful Bidder and this process will continue at the reasonable discretion of the Sponsor a qualified Successful Bidder is determined.
Odds of successfully bidding on an Item depend on the number of eligible bids received. The Successful Bidder’s name will be posted on www.win6.org or you can send a self-addressed, postage stamped envelope no later than ninety days (90) days after the Reverse Auction end date to: Aurora International Consulting LLC, 1048 War Bonnet Way, Incline Village, Nevada 89451.
ITEM. The Item shall be as described on the webpage at www.win6.org. The Item is non-assignable and non-transferable. The Item shall not be redeemable in cash. In the case of unavailability of the Item, Sponsor reserves the right to substitute an item of comparable value. Sponsor reserves the right to extend the delivery date of the Item by up to six (6) months from the date of notification to the Successful Bidder. All federal, state and local taxes are the sole responsibility of Successful Bidder and Successful Bidder acknowledges and understands that the value of the Item purchased may be considered taxable income. Upon Sponsor’s request, the Successful Bidder shall provide the Successful Bidder’s social security number, name, address, proof of legal residence, proof of age, proof that the wireless telephone number associated with the bid belongs to the Successful Bidder and the Successful Bidder’s account with the wireless carrier is current.
Sponsor makes no warranties and hereby disclaims any and all warranties, conditions or representations, whether express or implied, oral or written, with respect to, related to or arising from the Reverse Auction or concerning the Item. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH ITEM IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND THE SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, ANY AND ALL IMPLIED WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGMENT, MERCHANTABILITY, FITNESS OR SUITABILITY FOR ANY PURPOSE WHETHER OR NOT SPONSOR KNOWS, HAS REASON TO KNOW, HAS BEEN ADVISED OR IS OTHERISE, IN FACT, AWARE OF ANY SUCH PURPOSE WHETHER ALLEGED TO ARISE BY LAW, BY REASON OF ENTRANT USAGE IN THE TRADE OR BY COUSE OF DEALING, INCLUDING, WITHOUT LIMITAITON, RELEVANT SYSTEM MALFUNCTION OR FAILURE.
INDEMNIFICATION. Each Entrant shall indemnify and hold Sponsor and all other Sponsor Parties (collectively “Indemnified Parties”) harmless from and against any damages, liabilities, costs, expenses, fees, including, without limitation, attorneys', accountants', investigators', witnesses' and professionals' fees, charges, expenditures, liabilities, damages and other losses of whatsoever incurred by any of the Indemnified Parties with respect to, arising from or out of any demand, complaint, request for redress, assertion of a cause of action or other claim whatsoever that relates to or arises out of any act or omission of Entrant, as well as any personal injury, property damage, death, illness or accident with respect to, arising from or out of the Reverse Auction.
REMEDY. NEITHER SPONSOR NOR ANY OTHER SPONSOR PARTY SHALL BE HELD LIABLE TO ANY ENTRANT, COLLECTION OF ENTRANTS, (OR ANY PERSON CLAIMING ANY RIGHT, TITLE OR INTEREST DERIVED FROM OR AS SUCCESSOR TO ANY ENTRANT’S RIGHT, TITLE AND INTEREST) ON ACCOUNT OF OR DUE TO BREACH OF THESE RULES, TERMS AND CONDITIONS IN OR FOR AN AMOUNT THAT EXCEEDS THE AMOUNT OF THE LEAST EXPENSIVE ITEM. NEITHER SPONSOR NOR ANY OTHER SPONSOR PARTY SHALL BE HELD LIABLE TO ANY ENTRANT, COLLECTION OF ENTRANTS, (OR ANY PERSON CLAIMING ANY RIGHT, TITLE OR INTEREST DERIVED FROM OR AS SUCCESSOR TO ANY ENTRANT’S RIGHT, TITLE AND INTEREST) FOR INCIDENTAL, INDIRECT, CONSEQUENTIAL OR SPECIAL DAMAGES OF ANY KIND INCLUDING, WITHOUT LIMITATION, LOST REVENUES OR PROFITS, PERSONAL INJURY, LOSS OF BUSINESS, OR LOSS OF CONTENT ARISING OUT OF THIS CONTEST, IRRESPECTIVE OF WHETHER THE CONTEST SPONSOR HAS ADVANCE NOTICE OF THE POSSIBILITY OF SUCH DAMAGES.
